Today, we are announcing the $600M Formation Bio Drug Development Accelerator Fund (the “Fund”), the latest step toward our ambition to build an enduring, AI-native pharmaceutical company. The Fund pairs dedicated capital with our drug development capabilities, team, and AI platform, allowing us to acquire and advance more promising drugs through clinical development.
AI is transforming drug discovery. But as our industry’s ability to discover new drug candidates accelerates, drug development and clinical trials risk becoming an even greater bottleneck. Over the past decade, the number of discovered drug candidates has doubled, while annual drug approvals have remained roughly flat. Turning this growing pipeline into medicines for patients will require a substantial expansion of development capacity and the capital to support it.
Today, many platform biotechs, AI discovery companies, and pharmaceutical companies cannot develop everything they discover. Promising drugs compete for limited capital, experienced teams, and clinical development resources. As drug discovery becomes more productive, we believe that gap will widen dramatically (Uneven Frontiers) and that this will be one of the defining challenges – and opportunities – for the next generation of pharmaceutical companies.
Formation Bio is built to meet this challenge. We have brought together an experienced team of drug developers and drug hunters, supported by our AI systems, translational models, and proprietary datasets. These capabilities help us identify promising drug candidates, match them to the right indications, design better trials, and execute development more efficiently – all with the goal of increasing the probability of clinical success. The Fund now pairs these capabilities with dedicated capital to advance a larger portfolio of drugs toward patients.
For our biotech and pharma partners, the Fund brings financing and execution together. Rather than investing in standalone biotech companies like typical biotech funds, the Fund will seek to invest in individual drug programs and license them into newly formed, asset-centric companies (“NewCos”). Each NewCo will receive funding to advance its drug assets through key clinical milestones and value inflection points, along with access to Formation Bio’s experienced drug developers, translational scientists, AI systems, and operating infrastructure. These capabilities span development strategy, clinical trial execution, regulatory affairs, manufacturing, and quality—allowing us to advance multiple programs without building a separate team and infrastructure for each.
Partners may receive upfront payments and retain participation in future milestones and royalties, allowing them to realize value from promising programs they may not have the resources to develop themselves. For platform biotechs, this also creates a way to advance more of their discoveries without raising additional capital and diluting shareholders in the parent company. See more details here.
For Formation Bio, the Fund also serves a broader ambition: to build this generation’s enduring pharmaceutical company that leverages AI and best-in-class human talent to deliver medicines that meaningfully improve patients’ lives. The Fund allows Formation Bio to pursue more programs while deploying capital efficiently and aligning incentives with our partners. For every asset we acquire, a single investment committee commits capital from our balance sheet and the Fund to support development through clinical value inflection, reducing financing uncertainty for our partners. We believe this approach can create liquidity opportunities, manage the binary volatility inherent to our industry, and lower our cost of capital over time, strengthening our ability to invest in more medicines in an era of discovery abundance.
For the Fund’s limited partners, the Fund offers exposure to an important and emerging investment category: individual drug assets 2 - 4 years away from a clinical readout. With more than $300 billion in drug sales facing patent expiration over the next decade, we believe pharma’s need for M&A creates multiple potential paths to liquidity for these assets. By investing in drugs already in or nearing clinical development, Fund LPs can gain exposure to biotech through a more capital-efficient structure.
The Fund will also support our efforts to pursue transformative programs, including treatments for diseases that have historically been difficult to tackle. We will focus on areas where our AI systems, models, development capabilities, and people give us a distinct advantage, and where that advantage can make a meaningful difference for patients. We look forward to sharing more about these efforts in the future.
We are grateful to our LPs including leading research foundations, academic institutions, philanthropies, and hospitals—who share our commitment to bringing more medicines to patients. We are proud to embark on this journey together.
An era of drug discovery abundance should become an era of extraordinary progress for patients. But that outcome is not guaranteed by the status quo pace and capacity of drug development. To fulfill that promise, the industry must expand its capacity to develop the medicines we discover. With this Fund, we are investing in the capital, people, and AI systems to make that future possible.
